Focus Energy Trust, Calgary, (Toronto: FET.UN, FTX) has acquired the Shackleton and southwest Saskatchewan properties of privately held Profico Energy Management Ltd., Calgary, for C$1.12 billion, including cash, the issuance of 31 million trust units, 10 million limited partnership units, exchangeable for trust units on a one-for-one basis and the assumption of approximately C$87.2 million of net debt of Profico. The shareholders of Profico will own approximately 51% of the Focus trust units following the deal. The properties being acquired include approximately 14,500 barrels of oil equivalent per day of production (98% gas), with proved reserves of 33.1 million barrels of oil equivalent and proved-plus-probable reserves of 46.7 million barrels of oil equivalent, more than 344,000 net acres of undeveloped land and a drilling inventory of more than 1,000 locations. Total reserves for Focus pro forma will be 64.1 million barrels of oil equivalent proved and 87 million barrels of oil proved-plus-probable, while production will be more than 23,750 barrels of oil equivalent per day.
