The tender offer and consent solicitation opened by Encana Acquisition ULC of 5.80% notes due May 1 and issued by Encana Holdings Finance Corp. was closed March 28, Encana Corp. (TO: ECA.TO) said the same day.
Encana Corp. had acted as guarantor, the company said. It noted that Encana Corp. and Deutsche Bank Trust Company Americas, as the trustee under the notes’ indenture, planned to execute a supplemental indenture that contains proposed amendments.
The supplemental indenture was scheduled to occur after a majority of the outstanding shares were accepted for purchase, around March 31, the company added.
Encana Holdings Finance Corp. issued a redemption notice for any notes not tendered in the offer, the company said.
Barclays Capital Inc. was the transaction’s dealer manager and solicitation agent, and D.F. King & Co. was the tender agent and information agent, the company added.Calgary, Alberta-based Encana Corp. produces natural gas, oil and NGL across North America.
