The Williams Cos. Inc. confirmed Aug. 24 that Corvex Management LP nominated 10 Corvex employees, including founder Keith Meister, to stand for election to Williams’ board of directors at the company’s Nov. 23 annual meeting of stockholders.
Williams said it will carefully review Corvex’s nomination notice, and stressed that no stockholder action is required at this time.
Williams noted that, should Corvex identify appropriately qualified individuals, Williams would work constructively with Corvex, seriously considering those candidates.
Williams said it took steps to allow stockholders to submit nominations in compliance with its bylaws, including extending the nomination deadline to Aug. 25, and clearly indicating to stockholders how many board seats would be available.
Williams also said that its board would consider any potential nominees that stockholders suggested.
Williams asked the former directors, including Meister, who resigned from the board in July to suggest specific director candidates.
