American Energy-Utica LLC, an affiliate of American Energy Partners LP, closed the note offering it priced last week, the company said Feb. 28. The offering was for $750 million of 3.5%, seven-year convertible, subordinated notes, the company added.

The offering had been upsized from an initial $500 million amount, the company noted.

The notes were convertible into common shares, based on the first qualified, registered public offering of the company, American Energy-Utica said.

The offering’s underwriters were Jefferies LLC, Citigroup Inc. (NYSE: C) and Goldman, Sachs & Co. (NYSE: GS), the company said.

Sullivan & Cromwell LLP was American Energy-Utica’s legal counsel and Latham & Watkins LLP was the underwriters’, the company said.
